1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding contract between Intexting ("Intexting", "we", "us", or "our") and the individual or legal entity ("Customer", "User", "you") registering for, accessing, or utilizing our marketing website at intexting.com and our cloud documentation software at app.intexting.com (the "Service").

By creating an account, subscribing to a plan, or uploading content, you acknowledge that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy. If you are entering into these Terms on behalf of a corporation, partnership, or government agency, you warrant that you possess full legal authority to bind that entity.

2. Eligibility & Account Responsibilities

• Age Requirement: You must be at least 18 years of age or the age of legal majority in your jurisdiction to use Intexting.
• Accurate Registration: You agree to provide true, accurate, and current information when creating an account on app.intexting.com and to keep your credentials updated.
• Credential Security: You are solely responsible for maintaining the confidentiality of your authentication credentials (including email, passwords, and API keys). You must promptly notify Intexting of any security breach or unauthorized access to your account.

3. Description of Service

Intexting is an AI-powered documentation and meeting transcription workspace that converts multi-modal inputs into polished, structured executive records. Key platform capabilities include:

• 5 Multi-Modal Capture Modes:
  1. Audio Speech to Text: Processing MP3, WAV, M4A, FLAC, and AAC files with speaker identification and sentence timestamps.
  2. Live Speech & Dictation: Real-time microphone capture in the web browser with pause and resume controls.
  3. YouTube & Video to Text: Extracting audio from public URLs or uploaded MP4/MOV videos with SRT/VTT subtitle generation.
  4. Image to Text (OCR): Digitizing printed paper documents, whiteboard sketches, and receipts into editable text.
  5. PDF to Text & Extraction: Multi-page PDF text and table processing with executive summarization.
• 6 Executive Document Formats: Generating formatted Minutes of Meeting (MoM), Client Meeting Reports, Interview Assessment Reports, Legal Case Reports, Field Visit & Safety Audit Reports, and Media Articles.
• Multi-Format Exports: Exporting generated records into Microsoft Word (.docx), Adobe PDF (.pdf), Microsoft Excel (.xlsx with timecodes), Text (.txt), and Subtitles (.srt, .vtt).

4. Customer Data Ownership

Intexting does not claim ownership or licensing rights over your content. You grant Intexting only the limited, non-exclusive license strictly necessary to execute the technical processing required to transcribe, diarize, synthesize, format, and deliver your requested documents back to your account.

5. Zero AI Model Training Covenant

Intexting expressly covenants that it does not, and will not:

• Use Customer Data (including voice recordings, transcripts, summaries, or meeting minutes) to train, retrain, improve, or evaluate public machine learning models or third-party artificial intelligence engines;
• Retain or license Customer Data to third-party artificial intelligence research laboratories;
• Expose Customer Data across multi-tenant boundaries.

6. Recording Consent & Legal Compliance Warranties

The legality of recording in-person conversations, telephone discussions, and virtual meetings is strictly governed by regional, state, and international wiretapping and privacy statutes.

Affirmative Customer Warranty: You explicitly represent, warrant, and covenant that:

• You have verified the applicable recording laws in your jurisdiction (including whether "one-party consent" or "all-party/two-party consent" applies);
• You have provided proper legal notice and obtained all legally required affirmative consents from all meeting attendees and participants before recording audio or submitting media to Intexting;
• You will not use Intexting for unlawful eavesdropping, clandestine surveillance, or prohibited wiretapping.

Intexting explicitly disclaims all liability resulting from your failure to obtain required participant consents, and you agree to fully indemnify Intexting for any third-party claims or regulatory penalties arising therefrom.

7. Subscriptions, Billing & Quotas

• Subscription Tiers: Intexting offers a Free plan and paid subscription tiers (Starter, Pro, Power) billed on a recurring monthly or annual basis as published on intexting.com/plans.
• Usage Quotas: Tiers include defined allocations for monthly transcription minutes and AI word generation. All features (all 5 capture modes and all 6 document types) are accessible across all active plans without artificial feature blocking. Quotas reset at the start of each billing period and do not roll over.
• Payment Authorization: You authorize Intexting (via our authorized PCI-DSS Level 1 payment processors) to charge your designated payment method on a recurring cycle until cancellation.
• Cancellations: You may cancel your subscription at any time via your account settings dashboard on app.intexting.com. Your cancellation will take effect at the conclusion of your current prepaid billing cycle, during which you will retain full access to your remaining quota.
• Refund Policy: Given the immediate cloud computing and AI inference resources consumed upon processing, subscription fees are non-refundable except where explicitly required by mandatory consumer protection laws.

8. Acceptable Use Policy

You agree not to use the Service, or permit any third party to use the Service, to:

• Upload audio, video, or documents containing content that is illegal, defamatory, obscene, harassing, threatening, or infringing upon third-party intellectual property or privacy rights;
• Upload malicious code, viruses, Trojan horses, or corrupted files designed to disrupt the operation of Intexting or its cloud infrastructure;
• Reverse-engineer, decompile, disassemble, or derive the source code, models, or algorithms of the Intexting platform;
• Scrape, crawl, or programmatically extract data from Intexting without prior express written authorization;
• Bypass security controls, authentication tokens, rate limits, or account quota protections;
• Resell, sublicense, or operate a commercial white-label bureau based on Intexting without a separate enterprise partnership agreement.

9. Public Sharing & Access Links

Intexting allows you to generate cryptographically tokenized public links for sharing transcripts and document recaps:

• You are solely responsible for determining with whom you share these links;
• Anyone in possession of a valid public link will be granted read-only access to view the shared session and audio player;
• You have the right to revoke, deactivate, or delete shared links at any time directly through your dashboard. Intexting reserves the right to disable public links that violate our Acceptable Use Policy.

10. AI Output & Accuracy Disclaimer

Intexting leverages advanced artificial intelligence and speech recognition models with industry-leading precision. However, AI-generated outputs are inherently probabilistic:

• Productivity Drafts: Transcripts, summaries, action items, and synthesized reports are provided as advanced productivity drafts intended to augment professional workflows.
• Human-in-the-Loop Review: We strongly advise that you review all generated Minutes of Meeting, Legal Case Reports, and Field Visit Audits before formal corporate execution, government submission, or court filing.
• No Legal or Professional Advice: Intexting is a software documentation tool and does not provide legal, engineering, medical, or financial counsel.

11. Intellectual Property Rights

The Intexting brand name, logo, software architecture, web design, icons, documentation, and user interfaces are protected by copyright, trademark, and trade secret laws and remain the exclusive property of Intexting and its licensors. You may not copy, reproduce, or create derivative works of our software or brand assets.

12. Termination & Account Purge

• Termination by You: You may close your account at any time through your dashboard.
• Termination by Us: We reserve the right to suspend or terminate your account immediately if you materially breach these Terms, engage in fraudulent activity, or fail to satisfy payment obligations.
• Data Purge Policy: Upon account closure or termination, all stored recordings, transcripts, summaries, and generated documents will be permanently purged from our active systems within 30 calendar days. You are encouraged to export your desired documents (PDF, Word, Excel) prior to requesting account closure.

13. Limitation of Liability

To the maximum extent permitted by applicable law:

• Intexting and its affiliates, directors, employees, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, goodwill, or business opportunity.
• Intexting's total aggregate liability arising out of or related to these Terms or the Service shall not exceed the total fees paid by you to Intexting in the twelve (12) months preceding the incident giving rise to liability.

14. Indemnification

You agree to defend, indemnify, and hold harmless Intexting, its directors, officers, employees, and agents from and against all third-party claims, damages, liabilities, losses, costs, and legal fees arising out of or related to: (a) your violation of these Terms; (b) your failure to obtain required legal consents for audio or video recording; (c) your Customer Data infringing third-party intellectual property or privacy rights; or (d) your violation of applicable laws.

15. Dispute Resolution & Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Intexting operates, without regard to its conflict of law principles. The parties agree to first attempt in good faith to resolve any dispute through informal executive negotiation before initiating formal legal proceedings or binding arbitration.
